1. What is an employee stock option plan (ESOP)?

An Employee Stock Option Plan (ESOP) is a style of remuneration given to employees in the form of rights to acquire shares of the company at an exercise price. These schemes can be adopted by companies who are targeting exponential growth. The higher the growth (thereby the share price), the greater the upside benefit to the employees (assuming share price is far greater than the exercise price).

2. What is an employee share award scheme (ESAS)?

An Employee Share Award Scheme is another form of remuneration, which involves the provision of company shares, at no cost to the employee. These schemes can be time based or performance based, with specific performance criteria to be fulfilled for the different departments/individuals. There are two types of Employee Share Award Schemes: a Restricted Share Plan (RSP) and a Performance Share Plan (PSP).

3. How does an ESOP work in Hong Kong?

The first step of an Employee Stock Options Plan (ESOP) is for the company to set up a trust that will hold shares for the company in Hong Kong. The trust will then distribute these shares to employees, giving them a vested interest in the success of the company. When employees leave, their shares will be cashed out if they have met the scheme criteria.

Companies usually adopt such schemes to incentivise employees to align with company’s long term growth through specific KPIs, to retain employees and to manage cash flow as actual cash bonuses are replaced with equities of the company.
