{"id":2381,"date":"2019-02-01T04:46:42","date_gmt":"2019-02-01T04:46:42","guid":{"rendered":"http:\/\/www.boardroomlimited.com\/my\/?post_type=media-information&#038;p=2381"},"modified":"2019-11-11T07:56:27","modified_gmt":"2019-11-11T07:56:27","slug":"boardroom-join-forces-with-symphony-house-as-the-largest-share-registry-and-corporate-services-provider-in-malaysia","status":"publish","type":"media-information","link":"https:\/\/www.boardroomlimited.com\/my\/media-information\/boardroom-join-forces-with-symphony-house-as-the-largest-share-registry-and-corporate-services-provider-in-malaysia\/","title":{"rendered":"Boardroom join forces with Symphony House, as the largest share registry and corporate services provider in Malaysia"},"content":{"rendered":"<div class=\"wpb-content-wrapper\"><p>[vc_row css=&#8221;.vc_custom_1548059356500{margin-top: 30px !important;margin-bottom: 30px !important;}&#8221;][vc_column width=&#8221;1\/12&#8243;][\/vc_column][vc_column width=&#8221;10\/12&#8243;][vc_column_text]<\/p>\n<ul>\n<li><a href=\"https:\/\/www.boardroomlimited.com\/\">Boardroom Limited<\/a> has entered into a conditional share sale agreement with Symphony House Sdn Bhd on 13 July 2018 for the proposed acquisition of (i) Symphony Corporatehouse Sdn Bhd, and its subsidiary Sky Corporate Services Sdn Bhd, (ii) Symphony Share Registrars Sdn Bhd, and (iii) Malaysian Issuing House Sdn Bhd<\/li>\n<li>Boardroom Limited, together with the Symphony House Subsidiaries, will command an industry-leading combined market share in the <a href=\"https:\/\/www.boardroomlimited.com\/my\/services\/share-registry-services\/\">share registry<\/a>, <a href=\"https:\/\/www.boardroomlimited.com\/my\/services\/corporate-secretarial\/\">corporate secretarial<\/a>, and outsourced corporate services sector in Malaysia, paving the way for more growth opportunities in the Asia-Pacific.<\/li>\n<li>Upon completion, Symphony House Sdn Bhd will become the second largest shareholder in Boardroom Limited with a 7.63 per cent stake, and its Group Executive Director\u00a0Dato\u2019 Abdul Hamid Sheikh Mohamed will remain as a Group Executive Director of the Symphony House Subsidiaries.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><strong>SINGAPORE, 16 July 2018<\/strong> \u2013 SGX Mainboard-listed <strong>Boardroom Limited<\/strong> (or \u201c<strong>Boardroom<\/strong>\u201d) a leading provider of corporate business solutions across Asia-Pacific, announced today that it has entered into a conditional share sale agreement with Symphony House Sdn Bhd (or \u201c<strong>Symphony House<\/strong>\u201d) on 13 July 2018 for the proposed acquisition of (i) Symphony Corporatehouse Sdn Bhd, and its subsidiary Sky Corporate Services Sdn Bhd, (ii) Symphony Share Registrars Sdn Bhd and (iii) Malaysian Issuing House Sdn Bhd (the \u201c<strong>Symphony House Subsidiaries<\/strong>\u201d) for a total consideration of RM164.14 million (approximately SGD55.64 million) (the \u201c<strong>Aggregate<\/strong> <strong>Consideration<\/strong>\u201d) from Symphony House Sdn Bhd (the \u201c<strong>Proposed Acquisition<\/strong>\u201d).<\/p>\n<p>The Proposed Acquisition is subject to further approval from the relevant authorities as well as the fulfilment of the terms and conditions as set out in the share sale agreement. Approximately 75 per cent of the Aggregate Consideration will be paid in the form of the Cash Consideration while approximately 25 per cent of the Aggregate Consideration will be paid in the form of the Consideration Shares.<\/p>\n<p>Further to the successful completion of the Proposed Acquisition, Symphony House Sdn Bhd will retain an interest in the business through its approximately 7.63 per cent stake in Boardroom Limited. Dato\u2019 Abdul Hamid Sheikh Mohamed will remain as a Group Executive Director of the Symphony House Subsidiaries.<\/p>\n<p>The Proposed Acquisition will provide both Boardroom and Symphony House with further opportunities for growth.
