As the number one share registrar in Singapore and Malaysia by market capitalisation, BoardRoom’s share registry team ran 187 annual general meetings (AGMs) and extraordinary general meetings (EGMs) in Malaysia between January and June 2026. This represented around one in four of the 785 general meetings held across the market during the period.

A Malaysian public company must hold its AGM within six months of its financial year end under section 340 of the Companies Act 2016, so issuers with a 31 December year end meet by 30 June. This makes May and June the busiest months of the Malaysian AGM season.

Since 1 March 2025, companies listed on Bursa Malaysia have also been required to hold general meetings at a physical venue in Malaysia, with or without remote participation. This ended the use of fully virtual meetings for listed issuers.

Key Considerations for the Next Season

  • Plan early for JuneThe month accounted for 41% of BoardRoom’s meetings and 48% of all general meetings held across the Malaysian market.
  • Prepare hybrid meetings for larger audiencesHybrid meetings drew 54% of all attendance from 10% of meetings, and most lasted more than two hours. Registration, streaming capacity, and question moderation should therefore be planned accordingly.
  • Consider digital proxy lodgementProxy forms increased 24%, with 86% of them arriving between April and June. Shareholders registered on BoardRoom’s Smart Investor Portal (BSIP) can submit proxy forms online through its e-Proxy service at any time of day, which takes pressure off manual processing. The same portal takes online registration for remote participation and electronic voting (RPEV) at hybrid meetings.

BoardRoom’s team ran 187 general meetings in the first half of 2026, 10% of them hybrid. Issuers planning a hybrid meeting can refer to our guide to hybrid AGMs in Malaysia.

Frequently Asked Questions

1. When must a Malaysian public company hold its AGM?

Within six months of its financial year end and within 15 months of its previous AGM, under section 340 of the Companies Act 2016. Companies with a 31 December year end therefore meet by 30 June, which is why May and June are the peak of the Malaysian season.

2. Can a company listed on Bursa Malaysia hold a fully virtual AGM?

No. Since 1 March 2025, listed issuers on the Main and ACE Markets must hold general meetings at a physical venue in Malaysia. They may add remote participation, making the meeting hybrid, provided remote shareholders can take part and vote on the same basis as those in the room.

3. What is the difference between an AGM and an EGM?

An annual general meeting is the statutory yearly meeting at which shareholders receive the financial statements, elect directors and approve routine resolutions. An extraordinary general meeting is any other general meeting, called when a decision cannot wait for the AGM, such as a major transaction.
